1. Eligibility & Business-to-Business Nature

Our Services are strictly intended for business entities, wholesalers, retailers, fashion brands, designers, and authorized representatives acting in the course of their trade, business, or profession.

• By placing an order, you represent and warrant that you are legally authorized to enter into binding commercial contracts on behalf of your organization.
• We reserve the right to refuse service, terminate accounts, or cancel orders if we suspect non-commercial, personal, or fraudulent activity.

2. Account Registration & Security

To access wholesale pricing, place orders, or utilize design services, you must register for a account.

• You agree to provide accurate, current, and complete company information during registration.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.
• You must notify us immediately of any unauthorized use or security breaches.

3. Orders, Pricing, & Payment Terms

• Pricing: All prices listed on the Site are exclusive of taxes, duties, customs fees, and shipping costs unless explicitly stated otherwise. Wholesale pricing tiers and MOQs (Minimum Order Quantities) are subject to change without prior notice; confirmed orders will be honored at the price active at the time of purchase.
• Order Acceptance: Submission of an order constitutes an offer to purchase. We reserve the right to accept, decline, or modify any order at our sole discretion (e.g., due to material shortages or production capacity limits). A binding contract is formed only upon our issuance of an Order Confirmation or Proforma Invoice.
• Payment Terms: Standard payment terms (e.g., 30% deposit upfront, balance before shipment via T/T, L/C, or PayPal) will be specified in your Order Confirmation. Late payments may incur interest at a rate of 0.2% per month. We reserve the right to hold shipments for accounts with overdue balances.

4. Custom Design & Manufacturing Services

For clients utilizing our design-to-production or OEM/ODM services:

• Design Approval: Mass production will commence only after you have signed off on tech packs, digital mockups, or physical pre-production samples (PPS). Once approved, no further changes can be made without a formal Change Request, which may affect lead times and costs.
• Intellectual Property (IP): You warrant that all designs, logos, patterns, and artwork provided to us do not infringe upon third-party IP rights. You grant us a limited license to use your IP solely for fulfilling your order. Conversely, we retain ownership of our proprietary manufacturing processes, base templates, and original designs created by our internal team unless otherwise agreed in writing.

5. Product Specifications & Industry Tolerances

Due to the nature of textile and garment manufacturing, you acknowledge and agree to standard industry tolerances:

• Color Variations: Screen displays vary, and fabric dye lots may differ slightly between batches. We cannot guarantee exact color matches across different production runs. Pantone references are guides only.
• Sizing & Measurements: Garment measurements may vary within a standard tolerance due to cutting, sewing, fabric stretch, and washing/shrinkage processes.
• Materials: Fabric composition, texture, weight, and hand-feel may exhibit minor variations based on raw material availability and supplier batches.

6. Shipping, Delivery, & Risk of Loss

• Lead Times: Estimated production and shipping times are approximate and not guaranteed unless agreed upon in writing as a "Guaranteed Delivery Date." Delays caused by material shortages, labor issues, or force majeure events will be communicated promptly.
• Incoterms & Risk: Unless otherwise specified in the Order Confirmation, all shipments are made FOB Shenzhen / EXW / CIF. The risk of loss or damage to goods transfers to the buyer according to the agreed Incoterm. You are responsible for filing freight claims directly with the carrier when applicable.

7. Returns, Replacements, & Quality Claims

As a B2B manufacturing platform, our return policy differs significantly from standard retail:

• Defective Goods: Claims for manufacturing defects or incorrect items must be submitted in writing within 7 days of receipt, accompanied by clear photographic/video evidence and batch numbers.
• Non-Defective Returns: Custom-made garments, clearance items, and discounted bulk orders are generally non-returnable and non-refundable. Standard stock items may be eligible for return subject to a restocking fee and buyer-paid return shipping.
• Remedy: For valid quality claims, our sole obligation shall be, at our discretion, to replace the defective goods, issue a credit memo for future orders, or refund the pro-rated value of the defective units.

8. Intellectual Property Rights

All content on this Site—including but not limited to product images, text, graphics, logos, software, and factory videos—is the exclusive property of Xiamen Lynnnsun Trading Co.,Ltd and is protected by international copyright and trademark laws. You may not reproduce, distribute, scrape, or create derivative works without our express written consent.

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any disputes arising from these Terms or our Services shall first be resolved through good-faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Xiamen, Fujian, China, except where local mandatory laws dictate otherwise.

12. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or placement of orders following such changes constitutes your acceptance of the revised Terms.
